How it works
Pre-money is what the company is worth before the new money arrives; post-money is pre-money plus the investment. The investor’s stake is simply their money as a share of post-money.
Formula
Post-money = Pre-money + InvestmentInvestor stake = Investment ÷ Post-moneyFounders and existing holders keep 1 − Investor stake
Frequently asked questions
What is the difference between pre-money and post-money valuation?
Pre-money is the agreed value before the investment, post-money is the value right after it. If an investor puts €500k into a company at €2M pre-money, post-money is €2.5M and they own 20%.
How much equity should I give away in a seed round?
Most European seed rounds sell between 15% and 25%. Selling more in one round makes the next rounds harder because founders end up under-incentivised.
Is the option pool part of pre-money?
Usually, yes. Investors typically ask for the pool to be created before the round, which means only existing shareholders are diluted by it. Use the cap table calculator to see the effect.
